Reseller Commission Agreement
NEI Japan KK and resellers collaborate to deliver premium global communication training through standard corporate packages.
Reseller and NEI Japan KK (“NEI”) have agreed to collaborate on providing premium quality global communication training.
NEI will pay commission:
The reseller may promote NEI’s standard corporate packages that include both Hybrid Enterprise and Guided Solo. When a client introduced by Reseller purchases a standard corporate plan, NEI will pay a 15% referral fee to the Reseller. When the client renews/expands the plan, NEI will continue to pay a 15% commission to the Reseller. The payment schedule is net 30.
Commissions are paid if the Lead purchases a corporate plan. Minimum 5 subscribers are required for each corporate plan.
The commission increases to 17% if the Reseller’s total number for the year is more than 50 new subscribers or more than 5 companies added, and to 20% if the total number is more than 100 new subscribers or more than 10 companies added. The upgraded commission is applied for all new contracts from that point forward for one year. Please see details below.
Thereafter the commission will be adjusted according to the total number of annual contracts. If Reseller brings more than 10 companies per year, NEI will consider additional incentives.
However, if the reseller does not sign any new clients after 12 months, the commission will drop to 5%. If the reseller does not generate any new business for a second consecutive year, the commission will be canceled.
Additionally:
Resellers are not allowed to change the prices provided by NEI to sell their products. If a reseller wants to add value to their products, they must apply to the NEI sales team for approval.
If Reseller processes the client payment, Reseller will subtract 15% before relaying the payment to NEI. The Reseller will be responsible for any transfer fees. The client account will be activated by NEI when the payment is received.
For customized plans outside the parameters of the standard corporate packages, NEI will prepare quotes for Reseller as requested. For these non-standard packages, the parties will agree on payment and other terms case by case.
For both standard and customized Corporate Plans, participants will follow the NEI method delivered via NE.Institute. NEI will provide the following services to each participant on Corporate Plans:
Access to create an account on NEI’s platform
Speaking Assessment
Individual Plan
Private portal with all lesson video recordings
Unrestricted access to Ada Your AI Aide
Agreed-upon number of NEI study units, each unit consisting of:
25-minute online 1:1 lesson with a TESL-certified North American teacher trained in the NEI method
Replay Challenge™ exercise
Extra English assignment selected specifically for learner’s needs and goals
Progress Assessment after 24 units of NEI’s course
Participation and progress dashboard for a plan manager
For optimal learning results, participants should complete all course components, including 1:1, Replay Challenge™, Extra English assignments, and Ada Micro-Topics. The services will be delivered in accordance with NEI’s Cancellation & Privacy policy: ne.institute/terms_of_use
NEI is responsible for delivering the services only as long as the payments are received timely.
Once a participant registers under the plan, the subscription is not transferrable (no substitutions of one participant for another, if any participant leaves, no refund for that participant.) Any unused units will roll over if a new Corporate Plan is purchased after the original plan expiration date. If Corporate Plan is not renewed, unused units will expire. If the plan is renewed, the group may include the same or different participants, but renewal must include at minimum the original number of participants. Also, please note that if the number of students decreases at the time of renewal, unused units will be forfeited even if the contract is renewed.
NEI regularly updates its partnership program.
TERMS
The parties are bound by the confidentiality terms of the NDA and further agree as follows:
Non-solicitation. For a period of twenty-four (24) months following the date of this neither party shall recruit or hire the other party’s employees, contractors or consultants.
